Proforma Invoice vs Regular Invoice

Deposits on large projects. A proforma lets you collect an upfront deposit against an agreed total. Once the deposit lands and work begins, you send milestone invoices against the same total.
Custom or built-to-order work. When you need to confirm specs before production, a proforma locks in the price and scope so there's no dispute later.
Proforma Invoice Format
A proforma invoice uses the same layout as a regular invoice with one critical difference: it's clearly labeled "Proforma Invoice" at the top, not "Invoice."
Include these fields:
- "Proforma Invoice" header in clear type
- Proforma number (use a separate series from your regular invoices, like PRO-001)
- Issue date and validity period (e.g., "Valid for 30 days")
- Your business details and client details
- Line items with description, quantity, unit price, line total
- Shipping and handling estimates if relevant
- Applicable taxes and duties
- Expected total

Common Mistakes
Using the same number as your regular invoice series. Keep proforma numbers separate (PRO-001, PRO-002). Mixing them causes accounting chaos.
Not labeling it clearly. If the document doesn't say "Proforma Invoice" at the top, the client may treat it as a real invoice, pay it, and then you have a reconciliation problem.
Leaving out validity. Without an expiration date, a proforma sent in March can be waved around in September. Always include "Valid for 30 days" or similar.
Forgetting to issue the real invoice. A proforma does not replace the final invoice. When goods ship or work completes, send the actual invoice that matches the proforma.
